Intel plans Wind River Systems acquisition

Intel announced today plans to purchase embedded systems software maker Wind River Systems for US$884 million. The deal would put Wind River's stock value at $11.50 a share. The acquisition would keep Wind River intact as a wholly owned subsidiary of Intel.

Ken Klein, CEO of Wind River Systems, said of the acquisition: “Our combination of strengths will be of great benefit to Wind River’s existing and future customers. As a wholly owned subsidiary, Wind River will more tightly align its software expertise to Intel’s platforms to speed the pace of progress and software innovation. We remain committed to continuing to provide leading solutions across multiple hardware architectures and delivering the same world-class support to which our customers have grown accustomed."

Klein will also be receiving $5 million worth of retention bonuses for remaining with Wind River over the next two years.

The acquisition comes after an April announcement from both Intel and Wind River that the two companies would be collaborating to build an expanded toolset for multicore embedded systems running Linux.

In March of this year, Wind River released version 3.0 of Wind River Linux, its own distribution of the open-source operating system targeted and optimized for specific embedded environments. Intel's own Linux plans have extended to Moblin, an open-source project for building a Linux-based platform optimized for mobile devices to which Intel has been contributing code and support. The combination of the two companies will undoubtedly include Linux for embedded devices.

Wind River Systems was founded in 1983 by Jerry Fiddler and Dave Wilner. Since that time, Wind River has acquired a number of competitors, including Integrated Systems, Interpeak AB and Tilcon Software Ltd. The company also offers its own real-time operating system, VxWorks.

"This acquisition will bring us complementary, market-leading software assets and an incredibly talented group of people to help us continue to grow our embedded systems and mobile device capabilities," said Renee James, vice president and general manager of Intel's Software and Services Group.

"Wind River has thousands of customers in a wide range of markets, and now both companies will be better positioned to meet growth opportunities in these areas."
