Macrovision to Acquire InstallShield

Claiming its customers have been clamoring for the ability to handle licensing issues during the install process, Macrovision Corp. last month announced it will acquire InstallShield Software Corp. for US$76 million in cash, with another $20 million to be paid contingent upon post-acquisition performance against revenue targets. The deal is expected to close this month or next.

The move should help Macrovision expand its place in what it's calling the software value management chain, according to Daniel Greenberg, Macrovision's vice president of marketing. Right away, the deal provides Macrovision with a conduit "to 500 million desktops worldwide," he said, noting the number of computers on which InstallShield is used. "They're the de facto standard of installers, and we're the de facto standard of software licensing" with the FLEXnet Publisher licensing enforcement tool, he said. "After the code's done, there are a whole series of processes that are part of the value chain-pricing, packaging, deployment."
Greenberg said there is a big overlap between software setup authoring, which is done with installer tools, and licensing. ISVs now can use a single solution for packaging and pricing software, he said. Meanwhile, on an enterprise level, "groups want to control the apps they deploy out to their users," Greenberg noted. "IT administrators do the same kind of processes as setup authoring, as well as usage monitoring, figuring out what to renew."
The merger of the two product lines also will leverage InstallShield's update service, which now will allow companies sending software updates to know what the end user is entitled to under the license, all in one system, Greenberg said.
